SECTION 1 – LEGAL CAPACITY AND COMPLIANCE
1.1 Age of Consent: By accessing the Ziitop interface and utilizing our services, you represent and warrant that you are at least the age of majority in your jurisdiction of residence.
1.2 Compliance with Laws: You agree to comply with all local, state, federal, and international laws, statutes, and regulations regarding your use of our website and your purchase of items through Ziitop.
1.3 Prohibited Resale: Ziitop products are intended for end-users only. You are strictly prohibited from purchasing products for unauthorized resale, commercial distribution, or “drop-shipping” activities without an express wholesale agreement executed by our corporate office.
SECTION 2 – PRODUCT SPECIFICATIONS AND PRICING DYNAMICS
2.1 Dynamic Pricing: Prices for our footwear products are subject to change at any time without prior notification. Ziitop reserves the right to modify or discontinue any part of the service or specific product line at our sole discretion.
2.2 Technical Inaccuracies: While we strive for absolute accuracy, the website may contain typographical errors, inaccuracies, or omissions related to pricing, promotions, and availability. We reserve the right to correct any errors and to cancel orders if any information in the Service is inaccurate at any time without prior notice (including after you have submitted your order).
2.3 Availability Constraints: We reserve the right to limit the quantities of any products or services that we offer. All descriptions of products or product pricing are subject to change at any time without notice.
SECTION 3 – TRANSACTIONAL INTEGRITY AND PAYMENT SECURITY
3.1 Account Verification: You agree to provide current, complete, and accurate purchase and account information. You agree to promptly update your account and other information, including your email address and credit card numbers/expiration dates, so that we can complete your transactions and contact you as needed.
3.2 Payment Security Protocols: All transactions are processed through encrypted, PCI-DSS compliant payment gateways. Ziitop does not store full credit card numbers on its servers. We reserve the right to refuse any order you place with us.
3.3 Order Limitations: In our sole judgment, we may limit or cancel quantities purchased per person, per household, or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address.
SECTION 4 – INTELLECTUAL PROPERTY AND USAGE RESTRICTIONS
4.1 Proprietary Rights: The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Ziitop and its licensors.
4.2 Prohibited Use Cases: You are expressly prohibited from:
- (a) Using the site for any unlawful purpose;
- (b) Infringing upon or violating our intellectual property rights or the intellectual property rights of others;
- (c) Harassing, abusing, or discriminating based on gender, sexual orientation, religion, or ethnicity;
- (d) Uploading or transmitting viruses or any other type of malicious code;
- (e) Collecting or tracking the personal information of others through automated means.
SECTION 5 – FORCE MAJEURE AND PERFORMANCE EXCUSABILITY
5.1 Definition: Ziitop shall not be held responsible for any delay or failure in performance caused by circumstances beyond our reasonable control (a “Force Majeure Event”).
5.2 Scope of Events: Force Majeure Events include, but are not limited to: natural disasters (floods, earthquakes), shipping strikes, industrial disputes, global health emergencies/pandemics, governmental restrictions, power failures, or major telecommunication disruptions.
5.3 Mitigation: During a Force Majeure Event, our obligations under these Terms are suspended for the duration of the event, and we will make reasonable efforts to resume service as soon as the situation permits.
SECTION 6 – LIMITATION OF LIABILITY AND WARRANTY DISCLAIMER
6.1 “As Is” Basis: The Service and all products delivered to you through the Service are (except as expressly stated by us) provided ‘as is’ and ‘as available’ for your use, without any representation, warranties or conditions of any kind, either express or implied.
6.2 Damage Caps: In no case shall Ziitop, our directors, officers, employees, or affiliates be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, or loss of data, arising from your use of any of the service or any products procured using the service.
SECTION 7 – INDEMNIFICATION CLAUSE
You agree to indemnify, defend and hold harmless Ziitop and our parent, subsidiaries, affiliates, and partners from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms of Service or your violation of any law or the rights of a third-party.
SECTION 8 – SEVERABILITY AND LEGAL CONTINUITY
If any provision of these Terms of Service is determined to be unlawful, void, or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms. This determination shall not affect the validity and enforceability of any other remaining provisions.
SECTION 9 – GOVERNING LAW AND JURISDICTIONAL MANDATE
9.1 Choice of Law: This Agreement and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region (HKSAR).
9.2 Exclusive Jurisdiction: Any dispute, controversy, or claim arising out of or relating to this Agreement shall be settled exclusively in the courts located in Hong Kong.
